I (A) Brief Outline (Objectives) of SRCL CSR Policy

SRCL ADOPT THE FOLLOWING CSR AND SD POLICY

The company shall respect the interest of, and be responsive to, all stakeholders, including employees, customers and society at large.

The CSR activities should be underpinned by ethics, transparency and accountability.

The company shall avoid complicity with human rights abuse.

The company shall take measures to check and prevent pollution, recycle waste, make optimal use of scarce resources and help manage natural resources in a sustainable manner.

The company shall undertake activities for economic and social development of communities including, but not limited to, education, skill building for livelihood, health, cultural and social welfare.

I (B) OVERVIEW OF SRCL CSR PROJECTS/ACTIVITIES

All the CSR activities/Projects fall in line with the Schedule VII of the Companies Act, 2013 focusing on issues which are of foremost concern in the nation development agenda encompassing SRCL’s thrust areas such as:

a) Promoting Preventive health care, sanitation and access to-drinking water.

b) Promotion of education, employment/livelihood enhancing vocation skills.

c) Promotion of gender quality, empowering women, facilities for senior citizens and Persons with special abilities and socially-economically backward groups.

d) Ensuring environmental sustainability, annual welfare and agro-forestry.

e) Protection of national heritage, art and culture.

f) Training to promote rural sports.

g) Rural development.

2. The Composition of the CSR Committee

The Board has laid down the CSR/SD policy, as per DPE Guidelines, to undertake activities for economic and social development of communities including, but not limited to, education, skill building for livelihood, health, cultural and social value. A Committee (Tier-I) consisting of Board Members has been constituted to oversee the CSR/SD activities and a Plant Level Committee (Tier-II) headed by Chief Operating Officer, SRCL has been constituted to coordinate the CSR/SD activities.

4. Prescribed CSR Expenditure : Rs.45.20 Lakhs ( 2% of Rs.22.61 Crores)

5. Details of CSR spent during 2021-2022.
a) Total amounts spent within 31.03.2022 : Rs.13.25 Lakhs
Amount unspent, if any : Rs.34.19 Lakhs

The company has allotted the Budget amount for CSR is Rs.47.44 Laksh. The Actual CSR has to spent by the company according to the Companies Act 2013 is Rs.45.20/- Lakhs within the FY 31/03/2022. The Company has spent Rs.13.25 Laksh within the FY 31/03/2022. The Balance unspent amount of Rs.34.19 Lakhs has been transferred to Unspent CSR Account as per section 135(6) Companies Act, 2013 and project has continued to the next FY. All the pending projects were completed within 30.09.2022 and a total amount of Rs.31.95 Lakhs has been spent and a balance amount of Rs.2.24 Lakhs is available in Unspent CSR Account.

6. In case if the company has failed to spend the 2% of average net profits of the last three Financial years or any part thereof, Directors Report to disclose reasons for such non-compliance.

Due to a delay in receiving permission from the concerned authority and government, the company was unable to spend the amount and the same has been transferred to Unspent CSR Account as per section 135(6) Companies Act, 2013. But an amount of Rs.31.95 Lakhs has been spent within 30/09/2022 and all the Projects has been completed and the total CSR Amount spent for the FY 2021-22 is Rs.45.20 Lakhs .

7. A responsibility statement of the CSR committee that the implementation and monitoring of CSR policy, is in compliance with CSR objectives and policy of the company.

The implementation and monitoring of the Corporate Social Responsibility (CSR) Policy is in compliance with CSR Objectives and Policy of the Company. The expenditure incurred were in accordance with provision specified in Schedule VII of Companies Act, 2013 and Companies (CSR Policy) Rules, 2014.

The major CSR activities undertaken by SRCL during 2021-2022 have been elaborated in the prescribed format.
